Terms & Conditions

1. Scope

These Terms & Conditions apply to all contracts, offers, and services provided by Protagonist Partners UG (haftungsbeschränkt) (“Protagonist Partners”) to its clients (“Clients”). Any differing terms from the Client shall not apply unless expressly agreed in writing.

2. Scope of Services

Protagonist Partners provides consulting, strategy, and representation services in the fields of sports, brand, and entertainment marketing. The specific scope of work is defined in the individual offer or contract. Any changes or extensions require written confirmation.

3. Offers and Payment

All offers are non-binding. Prices are stated exclusive of statutory VAT. Protagonist Partners may issue partial invoices for partial performance. Payment is due within 14 days after receipt of invoice without deduction, unless otherwise agreed.

4. Confidentiality

Both parties agree to treat all confidential information received during the cooperation as strictly confidential and not to disclose it to third parties.

5. Intellectual Property

All concepts, presentations, drafts, texts, and materials developed during the cooperation remain the intellectual property of Protagonist Partners unless otherwise agreed. The Client may use them only within the agreed scope.

6. Liability

Protagonist Partners shall only be liable for damages caused by intent or gross negligence. In cases of slight negligence, liability is limited to breaches of essential contractual obligations and to the foreseeable, typical damage.

7. Data Protection

8. Final Provisions

Place of performance and jurisdiction is Berlin, Germany, where legally permissible. German law applies. If any provision of these Terms & Conditions is invalid, the validity of the remaining provisions shall not be affected.
